Acceptance of Terms

By accessing, browsing, or purchasing products from this website (the “Site”), you agree to be bound by these Terms of Service (“Terms”), forming a binding agreement between you (“User,” “Customer,” or “Buyer”) and Novubio LLC (“Company,” “we,” “us,” or “our”). If you do not agree to these Terms, you must not use the Site or purchase our products.

You affirm that you are at least 21 years of age and legally capable of entering into binding contracts. You are solely responsible for ensuring that your use of this Site and any products purchased complies with all applicable local, state, and federal laws.

Research Use Only Disclaimer

All products sold by Novubio LLC are intended exclusively for laboratory research purposes and are not for human or animal consumption, medical, diagnostic, therapeutic, or commercial use.

By purchasing from us, you represent and warrant that:

You are a qualified researcher or acting on behalf of a licensed research institution.
You will use the products solely for lawful, in-vitro research purposes.
You will not use, nor permit others to use, our products for any prohibited purpose, including but not limited to ingestion, injection, implantation, inhalation, topical application, or any other direct human or animal exposure.

No Medical or Therapeutic Claims

Our products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for any medical or therapeutic use. We make no claims regarding the diagnosis, cure, mitigation, treatment, or prevention of any disease.

Product Quality and Assumption of Risk

All products are sold as-is, without any express or implied warranties, including but not limited to warranties of merchantability or fitness for a particular purpose. Unless explicitly stated, products are not sterile.

By purchasing, you acknowledge and accept:

The inherent risks of handling, storing, and using research chemicals.
Your obligation to evaluate and manage all associated hazards.
Your responsibility for ensuring appropriate safety practices, storage conditions, and legal disposal in accordance with all relevant laws, regulations, and institutional standards.

Restricted Resale

You are strictly prohibited from reselling, redistributing, relabeling, repackaging, or incorporating any products purchased from Novubio LLC into other goods or services without our express prior written consent.

This restriction does not apply to authorized wholesale partners operating under a current, signed Wholesale Agreement with Novubio LLC. Wholesale resale rights, relabeling conditions, and packaging standards are governed separately by that agreement.

Any unauthorized resale or redistribution of our products constitutes a material breach of these Terms and may result in:

Immediate termination of account access,
Legal action, including injunctive relief,
Claims for damages,
Recovery of all associated legal costs.

Novubio LLC expressly disclaims any and all liability for the use, handling, marketing, or redistribution of its products once they have left our control. You agree to indemnify and hold harmless Novubio LLC from all third-party claims arising from such unauthorized activities.

Toxic Substances Compliance

You agree to ensure compliance with the Toxic Substances Control Act (TSCA) and all applicable federal, state, and local regulations for the substances you purchase.

Limitation of Liability

To the fullest extent permitted by law, Novubio LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use or misuse of the Site or products. This includes, but is not limited to, loss of profits, data, business interruption, or goodwill, even if advised of the possibility of such damages.

Our total cumulative liability for any claim related to these Terms or our products shall not exceed the amount you paid for the product(s) in question.

Indemnification

You agree to indemnify, defend, and hold harmless Novubio LLC, its owners, officers, directors, employees, and agents from any and all claims, liabilities, losses, expenses, or demands (including legal fees) arising from:

Your use or misuse of the products,
Your breach of these Terms,
Your violation of any applicable law or regulation,
Any unauthorized third-party use of the products.

This indemnification obligation shall survive the termination or expiration of these Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware. Any legal action or proceeding arising from or relating to these Terms shall be exclusively brought in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts. Notwithstanding the foregoing, Novubio LLC reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction.

Order Acceptance and Pricing

We reserve the right to refuse, cancel, or limit any order at our discretion. Pricing, descriptions, and availability of products may change without notice.

Intellectual Property

All content on this Site, including text, images, logos, and trademarks, are the intellectual property of Novubio LLC or its licensors and are protected by U.S. copyright and trademark laws. Unauthorized use is prohibited.

Returns and Refund Policy

Novubio LLC stands behind the quality of our research compounds. While all sales are considered final due to the sensitive and perishable nature of our products, we do offer a 30-day satisfaction guarantee, evaluated on a case-by-case basis.

If a product arrives damaged, defective, or compromised, please contact us within 72 hours of delivery with supporting documentation. Approved claims may be eligible for a refund or credit, at our discretion.

Please note:

We do not accept physical returns of any products.
All purchasers are solely responsible for the safe and lawful disposal of research materials, in accordance with local and institutional guidelines.

Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our control, including but not limited to acts of God, natural disasters, war, labor shortages, transportation failures, or pandemics.

Entire Agreement

These Terms, together with our Privacy Policy and any additional posted policies, constitute the entire agreement between you and Novubio LLC regarding your use of the Site and purchase of products.

Modifications to Terms

We reserve the right to update or revise these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site after such changes constitutes acceptance of the revised Terms.
